Directors and Officers Liability

What’s It About?
This workshop—which addresses not-for-profit as well as larger for-profit organizations—will discuss the history of the “D&O” exposure, including the impact of form of business entity; legal duties of directors and officers and standards of care; and defenses that may be available to them. It will discuss coverage for directors and officers under various policies, and suggest why D&O liability coverage is necessary for various types of organizations. It will offer an analysis of various D&O insuring agreements.

Who’s It For?
This workshop is designed for all insurance professionals and other professionals who must protect the interests of their “customers,” including agents, brokers, underwriters, adjusters, reinsurers, risk managers, and attorneys; and who have at least three years of experience.

What You’ll Learn
At the conclusion of this workshop, the attentive learner will be able to:

  • Identify the sources of liability and defenses related to directors and officers.

  • Explain the difference between directors and officers coverages and corporate reimbursement coverage.

  • Identify and understand key exclusions unique to directors and officers coverage.

  • Explain the major provisions commonly found in directors and officers insurance programs.

  • Assess impact of incorporating employment practices liability coverage on the directors and officers policy.

Employment Practices Liability

Registration: 12:30 – 1 p.m.           
Program: 1 ­– 4:35 p.m.

What’s It About?
The attendee will learn how statutes and court cases have made employment practices liability (EPL) coverage a must for most organizations. They will identify potential coverage under various “standard” policies, and learn why an EPL policy is needed to “fill-in the gaps”. The attendee will gain a better understanding of the basic EPL policy.

Who’s It For?
This program is designed for all insurance professionals and other professionals who must protect the interests of their “customers,” including agents, brokers, underwriters, adjusters, reinsurers, risk managers, and attorneys, and who have at least three years of experience.

What You’ll Learn
At the conclusion of the workshop, the attentive learner will be able to:

  • Identify employment-related practices that lead to loss exposures for various organizations.

  • Identify and explain legal concepts related to employment-related practices of persons and organizations.

  • Explain coverage found in CGL, workers compensation, business auto, umbrella, and directors and officers liability policies; and identify endorsements that modify exclusions to add or restrict coverage.

  • Identify and explain types of insurance coverage available to entities exposed to liability arising out of employment-related practices.

  • Understand the basic characteristics of an employment practices liability policy.

Speaker for Both Workshops
R. Bryan Tilden, CPCU, CIC, CLU, is a national lecturer and expert witness in the field of insurance. Prior to starting his own firm, Tilden and Associates, he was the director of technical affairs and director of education for IIANC. Tilden has been active in insurance education as a grading panel member for the Insurance Institute of America and the American Institute for Chartered Property Casualty Underwriters. In 1988, IIANC presented him with the Ernest F. Young Education Award, and in 1989 Agent of the Year. Tilden has taught in schools for both the PIA and IIAA, been a speaker at RIMS and CPCU Society meetings, and has spoken at various conventions.
